Contracting and Appointing Authority

Signature/Contracting Authority

Chapter 36 of the Wisconsin Statutes grants the Board of Regents of the University of Wisconsin System official authorization to sign certain types of contracts that bind the Board and UW System institutions.  The Board of Regents does not need to directly approve all contracts and so delegates authority to the Chancellor's office, who may further delegate to a limited number of individuals on campus.  These delegated individuals are deemed to have the requisite knowledge, judgement, and operational need to exercise such authority.  The Chancellor's delegations must be made in writing.  (Regent Policy Document 13-1)

Employees signing contracts or agreements without the proper signature authority may not be able to contractually obligate the University of Wisconsin-Parkside.  Unauthorized employees who sign contracts or agreements can be held personally responsible for any costs or damages, because they are acting outside of the scope of their employment.  A contract may not be enforceable against either party until authorized signatures by both parties are applied. 

Regent Policy 13-1 does not apply to delegated state purchasing authority as covered in Chapter 16 of the Wisconsin Statutes.  The State Department of Administration delegates purchasing signature authority to designated agents for procurement contracts and agreements related to the purchase of goods and services.  Generally, departments may purchase goods and services up to $5,000 that do not involve a contract or an agreement.

If a department staff receives a procurement contract or agreement requiring signatures, the document should first be reviewed by a designated agent for procurement. Certain contract terms, such as indemnification, are unacceptable to the State of Wisconsin.  A designated agent will review, edit as necessary, and have the appropriate signatures applied.
